Terms of Service

These Terms of Service ("Terms") are an agreement between you and NicheCoach ("we," "us," or "our") governing your use of our services, including our website at https://nichecoach.app and our AI-powered business coaching application.

By using NicheCoach, you agree to these Terms. If you don't agree, don't use NicheCoach.

We can update these Terms from time to time. If we make material changes, we'll notify you. Continued use of NicheCoach after changes means you accept the updated Terms.

1. Who Can Use NicheCoach

You must be at least 18 years old to use NicheCoach. By signing up, you confirm that you are 18 or older and that you have the legal capacity to enter into these Terms.

By using NicheCoach, you also represent that:

  • The information you provide during registration is accurate and current
  • You'll keep your account information up to date
  • You won't access NicheCoach using bots, scripts, or automated means
  • You won't use NicheCoach for illegal purposes
  • Your use of NicheCoach won't violate applicable laws or regulations

2. Your Account

You're responsible for keeping your password confidential and for all activity on your account. If you notice unauthorized access, email nichecoach.support@gmail.com immediately.

We can suspend or terminate accounts that violate these Terms, are inactive for extended periods, or we suspect are being used fraudulently.

3. Our Services

NicheCoach provides AI-powered business coaching, journals, goal tracking, and community features for online business builders. Our services are provided "as is" without warranties of any kind. See Section 13 for the full disclaimer.

NicheCoach is not financial, legal, tax, medical, or professional advice. AI-generated suggestions are informational only. You're responsible for the decisions you make about your business.

4. Free and Paid Tiers

NicheCoach offers a Free tier with no payment required.

A Pro tier ($9.99/month) is planned to launch with additional features such as smart journals, web search with citations, and higher usage limits. We may from time to time offer free trials of paid subscriptions; trial terms (such as duration and conversion to paid) will be specified at signup. Until Pro launches, only the Free tier is available.

When Pro launches, the following will apply:

  • Billing. Pro subscriptions auto-renew monthly until cancelled. Your payment method will be charged automatically at each renewal.
  • Cancellation. You can cancel from your account settings at any time. Cancellation takes effect at the end of the current billing period; you keep Pro access through that period and are not billed again.
  • Refunds. Pro is sold on a monthly basis. We don't issue prorated refunds for partial months. If you believe you've been charged in error, email nichecoach.support@gmail.com.
  • Price changes. We may change Pro pricing with at least 30 days' notice. If you don't agree to a price change, you can cancel before it takes effect.
  • Payment processing. Pro payments are processed by Stripe. By subscribing, you also agree to Stripe's terms.
  • Currency. All prices are in US dollars.

5. Your Content

NicheCoach lets you create journal entries, business profiles, goals, AI conversations, and community posts (collectively, "Your Content").

You own Your Content. We don't claim ownership of journal entries, business information, goals, or anything else you create in NicheCoach.

License you grant us. To operate NicheCoach, you grant us a worldwide, non-exclusive, royalty-free license to host, store, display, and process Your Content solely for the purpose of providing and improving the service to you. We don't claim broader rights to use, sell, or republish Your Content for our own purposes.

Community posts. When you post in the community, your post is visible to other NicheCoach users. By posting, you grant us and other NicheCoach users a license to view, reply to, and reference your community posts within the service. You retain ownership of community posts and can delete your own posts at any time.

You're responsible for Your Content. You confirm that:

  • Your Content is yours, or you have the rights to share it
  • Your Content doesn't violate anyone else's intellectual property, privacy, or other rights
  • Your Content isn't illegal, harmful, harassing, hateful, sexually explicit, defamatory, or fraudulent
  • You're not posting confidential information that you don't have the right to share

We can remove any content that violates these Terms.

6. Acceptable Use

When using NicheCoach, don't:

  • Violate any law or regulation
  • Try to break or interfere with NicheCoach's security or operation
  • Use bots, scrapers, or automated tools to access NicheCoach
  • Reverse engineer, decompile, or copy NicheCoach's code
  • Attempt to access other users' accounts
  • Harass, threaten, or harm other users
  • Post content that's illegal, hateful, harassing, sexually explicit, or otherwise objectionable
  • Use NicheCoach to compete with us or build a competing product
  • Impersonate someone else
  • Spam community posts or messages
  • Submit false reports of abuse or misconduct

We can suspend or terminate accounts that violate these rules.

7. AI Features

NicheCoach uses AI to power coaching, journal suggestions, and search features. AI providers we use include Groq and Perplexity. Your messages are sent to these providers for processing.

AI responses can be wrong, incomplete, or misleading. Don't rely on AI advice for high-stakes decisions without independent verification. We're not responsible for outcomes resulting from your reliance on AI suggestions.

You can disable AI features in your account settings.

8. Privacy

Our Privacy Policy describes how we handle your information: https://nichecoach.app/privacy. By using NicheCoach, you also agree to our Privacy Policy.

9. Intellectual Property

The NicheCoach name, logo, app, design, code, and all related materials are owned by us or licensed to us. You can use NicheCoach for its intended purpose. You can't copy, modify, distribute, sell, or create derivative works of our materials without our written permission.

If you give us feedback or suggestions about NicheCoach, we can use them to improve the service without obligation to you.

10. Termination

You can stop using NicheCoach and delete your account at any time. Email nichecoach.support@gmail.com to request account deletion.

We can suspend or terminate your account if you violate these Terms, if we suspect fraud or abuse, or if we discontinue the service. If we terminate your account for cause, you won't be entitled to a refund of any unused portion of a paid subscription.

If we discontinue the entire service, we'll give you reasonable advance notice and a way to export your data.

After termination, the sections of these Terms that should survive termination by their nature (intellectual property, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous) will continue to apply.

11. Service Availability and Changes

We try to keep NicheCoach available, but we don't guarantee uninterrupted access. We may need to do maintenance, fix bugs, or update the service in ways that cause temporary downtime.

We can change, add, or remove features at any time. We can also discontinue the service entirely, with reasonable notice.

We're not liable for any inconvenience or loss caused by service interruptions, maintenance, or changes to the service.

12. Service Management

We reserve the right to:

  • Monitor NicheCoach for violations of these Terms
  • Take legal action against violators, including reporting them to authorities
  • Refuse, restrict, or remove access to NicheCoach for users who violate these Terms
  • Remove content that's excessive in size or burdens our systems
  • Manage NicheCoach in ways that protect our rights and ensure proper functioning

13. Disclaimers

NICHECOACH IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DON'T GUARANTEE THAT NICHECOACH WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. WE DON'T GUARANTEE THE ACCURACY OR COMPLETENESS OF AI RESPONSES OR ANY OTHER CONTENT.

NICHECOACH IS NOT FINANCIAL, LEGAL, TAX, MEDICAL, OR PROFESSIONAL ADVICE. AI SUGGESTIONS ARE INFORMATIONAL ONLY. YOU'RE RESPONSIBLE FOR THE DECISIONS YOU MAKE ABOUT YOUR BUSINESS, FINANCES, OR ANY OTHER MATTER.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NICHECOACH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING FROM YOUR USE OF NICHECOACH, EVEN IF WE'VE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS RELATED TO THESE TERMS OR YOUR USE OF NICHECOACH WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU'VE PAID US IN THE 12 MONTHS BEFORE THE CLAIM.

Some jurisdictions don't allow these limitations, so they may not apply to you.

15. Indemnification

You agree to defend and indemnify NicheCoach from claims, damages, and expenses (including attorney's fees) arising from:

  • Your violation of these Terms
  • Your violation of any law or third party's rights
  • Your Content
  • Your use of NicheCoach in violation of these Terms

16. Governing Law

These Terms are governed by the laws of the State of Wisconsin, USA, without regard to conflict of law principles.

17. Disputes

Any dispute arising from these Terms or your use of NicheCoach will be resolved in the state or federal courts located in Wisconsin, USA. You and NicheCoach both agree to the personal jurisdiction of those courts.

You and NicheCoach both waive any right to a jury trial. You agree that any claim must be brought in your individual capacity, not as part of a class action.

This section doesn't apply to claims for injunctive relief related to intellectual property or unauthorized access to NicheCoach, which can be brought in any court of competent jurisdiction.

18. Electronic Communications

By using NicheCoach, you consent to receiving electronic communications from us, including emails, in-app notifications, and similar messages. You agree that these electronic communications satisfy any legal requirement that communications be in writing.

19. Miscellaneous

  • These Terms are the entire agreement between you and NicheCoach about your use of the service.
  • If a provision of these Terms is unenforceable, the rest of the Terms continue to apply.
  • We can assign these Terms to another company (for example, in a sale or merger). You can't assign your rights under these Terms without our written permission.
  • Our failure to enforce a provision doesn't waive our right to enforce it later.
  • These Terms don't create a partnership, joint venture, or employment relationship.
